Please read these Terms of Service carefully before using Tectonic. By using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using Tectonic's AI-powered construction bidding platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Outlier Estates LLC ("Tectonic", "we", "us", or "our"). You represent that you have the authority to enter into these Terms on behalf of yourself or the organization you represent.
2. Description of Service
Tectonic provides an AI-powered platform for construction professionals to:
• Upload and analyze construction plans and blueprints
• Generate material takeoffs and quantity estimates
• Create professional bid proposals
• Manage cost libraries and project data
• Collaborate with team members
Beta Notice: Tectonic is currently in beta. Features may change, and the Service may experience interruptions. We do not guarantee uptime or availability during the beta period.
3. User Accounts
Account Creation: You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account.
Account Responsibility: You are responsible for all activities that occur under your account, whether or not you authorized such activities.
4. Subscription and Payment
Pricing: Subscription fees are as displayed on our website at the time of purchase. Prices are subject to change with 30 days' notice.
Billing: Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Payments are processed through Stripe.
Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
Free Trial: If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges.
5. Acceptable Use
You agree not to:
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to compete with Tectonic or develop a competing product
• Share your account credentials with third parties
• Upload content that infringes on intellectual property rights of others
• Use automated means (bots, scrapers) to access the Service without our permission
6. Your Content
Ownership: You retain ownership of all content you upload to the Service, including construction plans, bid documents, and project data ("Your Content").
License to Us: By uploading Your Content, you grant us a limited, non-exclusive license to use, process, and store Your Content solely for the purpose of providing the Service to you. This includes using anonymized, aggregated data to improve our AI models.
Responsibility: You are solely responsible for Your Content. You represent that you have all necessary rights to upload and use Your Content with our Service.
Confidentiality: We treat Your Content as confidential. We will not share your project data with third parties except as required to provide the Service or as described in our Privacy Policy.
7. Intellectual Property
Our Property: The Service, including its software, design, features, and documentation, is owned by Outlier Estates LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.
Trademarks: "Tectonic" and our logos are trademarks of Outlier Estates LLC. You may not use our trademarks without our prior written permission.
Feedback: If you provide us with feedback or suggestions about the Service, you grant us the right to use such feedback without any obligation to you.
8. AI-Generated Estimates
Not Professional Advice: AI-generated estimates, material takeoffs, and bid proposals are provided as tools to assist your bidding process. They are not substitutes for professional judgment, experience, or verification.
Accuracy Disclaimer: While we strive for accuracy, AI-generated estimates may contain errors. You are responsible for reviewing and verifying all estimates before submitting bids or making business decisions.
No Guarantee: We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. Use of such content is at your own risk.
9. Limitation of Liability
Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECTONIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Cap on Liability: OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Tectonic, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
• Your use of the Service
• Your violation of these Terms
• Your Content
• Your violation of any third-party rights
11. Termination
By You: You may terminate your account at any time by contacting us or using the account settings.
By Us: We may suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms. We will provide notice when practicable.
Effect of Termination: Upon termination, your right to use the Service immediately ceases. We may delete Your Content after a reasonable period following termination. Provisions of these Terms that by their nature should survive termination will survive.
12. Modifications to Terms
We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, and the language shall be English.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
14. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tectonic regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
